Payment Terms:
Payments are due on a recurring monthly basis starting from the date of the first invoice, unless otherwise stated. Late payments may incur fees. The agency reserves the right to pause or terminate services for any account with an outstanding balance.

Scope of Work:
Kairos Communications provides strategy, development, marketing, and management services as outlined in the individual scope of work. Any services requested outside the agreed scope may be subject to additional fees and extended timelines.

Client Responsibilities:
Clients agree to provide all necessary information, brand assets, access credentials, approvals, and feedback in a timely manner. Delays caused by the client may impact project timelines, for which the agency is not responsible.

Intellectual Property:
The agency retains ownership of all intellectual property created during the engagement until full payment is received. Upon full payment, usage rights are granted to the client, except for agency-owned tools, templates, or proprietary systems.

Confidentiality:
Both parties agree to maintain confidentiality regarding all sensitive business, marketing, or operational information. This obligation extends beyond the duration of the engagement.

Termination Clause:
Either party may terminate the agreement with 30 days’ written notice. The agency reserves the right to terminate the contract under specific conditions, including non-payment or breach of agreement. Early termination by the client may result in applicable fees.

Performance Metrics & Reporting:
The agency will outline clear deliverables and define KPIs when applicable. Clients will receive regular performance reports or updates based on the service provided.

Modification of Terms:
This agreement may only be modified through written consent by both parties.
 

Portfolio Usage:
The agency reserves the right to display completed projects, designs, and case studies in its portfolio, website, or promotional materials unless the client explicitly requests otherwise in writing.

Ad Spend Responsibility:
All ad spend is paid directly by the client to third-party platforms (e.g., Google, Meta, Amazon). The agency is not liable for billing errors or fluctuations in costs charged by those platforms.

Third-Party Tools:
The agency may recommend or use third-party tools or plugins to optimize results. The client is responsible for any associated subscription fees unless otherwise agreed upon in writing.

Dispute Resolution:
In the event of a dispute, both parties agree to first attempt resolution through informal negotiations. If unresolved, the matter will proceed to mediation or arbitration before considering legal action.

Force Majeure:
Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including but not limited to natural disasters, government actions, platform outages, or widespread internet disruptions.

Indemnification:
The client agrees to indemnify and hold harmless Kairos Communications and its affiliates from any claims, liabilities, or damages resulting from the services provided, excluding gross negligence or willful misconduct by the agency.

Non-Solicitation:
During the term of this agreement and for six (6) months following its conclusion, the client agrees not to hire, solicit, or contract directly with any employee, contractor, or subcontractor of the agency.
